TERMS OF USE AGREEMENT
This Terms of Use Agreement (“Agreement”), along with our Ulama Institute Privacy Policy (https://ulamainstitute.com/privacy-policy), constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“user” or “you”) and Ulama Institute and its affiliated companies, Websites, applications and tools (collectively, Ulama Institute, “Ulama Institute ” or “we” or “us” or “our”), concerning your access to and use of the: https://ulamainstitute.com/ as well as any other media form, media channel, mobile website or mobile application related or connected thereto (collectively, the “https://ulamainstitute.org”). The Sites provide the following service: Ulama Institute is a marketplace where students and instructors can identify each other and advertise, buy, and sell course Services online. Subject to the Terms of Service, Ulama Institute provides the Site Services to Users, including hosting and maintaining the Site, facilitating the formation of Service Contracts, and assisting Users in resolving disputes. When a User enters a Service Contract, the User uses the Site to invoice and pay monthly amounts that were specified by the instructor.
Supplemental terms and conditions or documents that may be posted on the Sites from time to time, are hereby expressly incorporated into this Agreement by reference.
Ulama Institute makes no representation that the Site is appropriate or available in all other locations other than where it is operated by Ulama Institute. The information provided on the Sites is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Ulama Institute to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Sites from other locations do so on their initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Sites. If you are a minor, you must have your parent or guardian read and agree to this Agreement prior to you using the Sites. Persons under the age of 13 are not permitted to register for the Sites or use the Ulama Institute Services. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to register for the Sites or use the Ulama Institute Services.

2. Description of Services
The Site is a marketplace where students and instructors can identify each other and advertise, buy, and sell course or course Services online. Subject to the Terms of Service, Ulama Institute provides the Site Services to Users, including hosting and maintaining the Site, facilitating the formation of Service Contracts, and assisting Users in resolving disputes. When a User enters a Service Contract, the User uses the Site to invoice and pay monthly amounts that were specified by the instructor.
2.1 relationship with Ulama and the users
Ulama Institute builds up a site where the instructor and the student interact directly with each other. Ulama Institute does not introduce the instructor to the students, select course, User all responsible 4 evaluating and determining the suitability of the course, student, and instructor.
Ulama Institut makes no representations about and does not guarantee, and you agree not to hold Ulama Institute responsible for, the quality, safety, or legality of the instructor; the qualifications, background, or identities of Users; the ability of the instructor to deliver teaching Services; the ability of the student to pay for instructor Services; User Content and statements or posts made by student; or the ability or willingness of a student or instructor to complete a transaction.
All the users use this ulama Institute, Users are acting as independent contractors and not as Ulama Institute or any other party’s employee, agent, franchisee. Accordingly, you will be solely responsible for all costs incurred by you or your organization. You shall not hold yourself out as having the authority to make contracts or promises on behalf of Ulama Institute.
No User shall consider participating in any Ulama institute vacation, group medical or life insurance, disability, profit sharing or retirement benefits, or any other fringe benefits or benefit plans offered by Ulama Institute to its employees.
2.2 Taxes and Benefits
Consent and agrees that instructor is solely responsible
– All tax liability associated with payments received from the student and through Ulama Institute, and that Ulama Institute will not withhold any taxes from payments to Instructor;
– to obtain any liability, health, workers’ compensation, disability, unemployment, or other insurance needed, desired, or required by law, and that the instructor is not covered by or eligible for any insurance from ulama Institute ;
– For determining whether the instructor is required by the applicable law to remit to the appropriate authorities any value-added tax or any other taxes or similar charges applicable to the instructor Fees and remitting any such taxes or charges to the appropriate authorities, as appropriate; and – if outside of the United States, for determining if Ulama Institute is required by the applicable law to withhold any amount of the instructor payment and for notifying Ulama Institute of any such requirement and indemnifying Ulama Institute for any requirement to pay any withholding amount to the appropriate authorities (including penalties and interest).
In the event of an audit of Ulama Institute, the instructor agrees to promptly cooperate with Ulama Institute and provide copies of instructor tax returns and other documents as may be reasonably requested for purposes of such audit, including but not limited to records showing the instructor is engaging in an independent business as represented to Ulama Institute.
2.3 ASSIGNMENT
You may not assign or transfer these Terms in whole or in part to any third party. These Terms shall bind and strictly be used to the benefit of the parties to these Terms and their respective successors, permitted transferees, and permitted assigns
2.4 Feedback and content
You hereby acknowledge and agree that we may provide users with a system to provide feedback, suggestions, and ideas, with whom you have transacted and interacted.
Feedback regarding our marketplace. By submitting any Feedback you provide us a written consent to use your Feedback in the improvement and promoting the Services; you agree that submitting a Feedback is gratuitous, unsolicited and without restriction and will not place us under any fiduciary or other obligation, and that we are free to use the Feedback without any additional compensation to you, and/or to disclose the Feedback on a non-confidential basis or otherwise to anyone.
You further acknowledge that, by accepting your Feedback submission, Ulama Institute does not waive any rights to use similar or related ideas previously known to Ulama Institute, or developed by its employees, or obtained from sources other than you. You agree that we may, in our sole discretion, use the Feedback you provide to us in any way, including in future enhancement and modifications to our Services. You hereby grant to us and our assigns a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display the Feedback in any manner for any purpose, or without it in any media, software, or technology of any kind now existing or developed in the future, without any obligation to provide attribution or compensation to you or any third party.
Ulama Institute does not generally investigate any feedback by Users or other User Content for accuracy or reliability and does not guarantee that User Content honesty and accurate. You are solely responsible for your User Content, including the accuracy of the information and any User Content, and are solely responsible for any legal action that may be instituted by other Users or third parties as a result of or in connection with your User Content. Ulama Institute is not legally responsible for any feedback or comments posted or made available on the Site by any Users or third parties, even if that information is defamatory or otherwise legally actionable. To protect the integrity of the feedback system and protect Users from abuse, we reserve the right (but are under no obligation) to remove posted feedback or information that, in our sole judgment, violates the Terms of Service or negatively affects our marketplace platform. You acknowledge and agree that you will notify Ulama institute of any error or inaccurate statement in your feedback results, including the Composite Information, and that if you do not do so.
Regarding Content You Provide
We may invite you to chat or participate in blogs, message boards, online forums, and other functionality and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to our Sites and/or to or via the Sites’ forms, emails, chat agents, popups, including, without limitation, text, writings, video, audio, photographs, graphics, comments, suggestions or personally identifiable information or other material (collectively “Contributions”). Any Contributions you transmit to the Ulama Institute will be treated as non-confidential and non-proprietary. When you create or make available a Contribution, you thereby represent and warrant that:
A. The creation, distribution, transmission, public display, and performance, accessing, downloading, and copying of your Contribution does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party;
B. You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize Ulama Institute and the Sites’ users to use your Contributions as necessary to exercise the licenses granted by you under this Agreement;
C. You have the written consent, release, and/or permission of each and every identifiable individual in the Contribution to use the name or likeness of each and every such identifiable individual to enable inclusion and use of the Contribution in the manner contemplated by our Sites;
D. Your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing, or otherwise objectionable (as determined by Ulama Institute ), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of any government, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party;
E. Your Contribution does not contain material that solicits personal information from anyone under 18 or exploit people under the age of 18 sexually or violently, and does not violate any federal or state law concerning child pornography or otherwise intended to protect the health or well-being of minors;
F. Your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap;
G. Your Contribution does not otherwise violate or link to material that violates, any provision of this Agreement or any applicable law or regulation.
USER REPRESENTATIONS AND ACCEPTANCES:
SUMMARY:
Regarding Your Registration
By using the Ulama Institute Services, you represent and warrant that:
A. all registration information you submit is truthful and accurate;
B. you will maintain the accuracy of such information;
C. you will keep your password confidential and will be responsible for all use of your password and account;
D. you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use our Sites; and
E. your use of the Ulama Institute Services does not violate any applicable law or regulation.
You also agree to (a) provide true, accurate, current, and complete information about yourself as prompted by the Site’s registration form and (b) maintain and promptly update registration data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Ulama Institute has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Ulama Institute has the right to suspend or terminate your account and refuse any and all current or future use of the Sites (or any portion thereof).
We reserve the right to remove or reclaim or change a user name you select if we determine appropriate in our discretion, such as when the user name is obscene or otherwise objectionable or when a trademark owner complains about a username that does not closely relate to a user’s actual name.

1.1- Registration:
By registering for an account to use the Site or Site Services (my “Account”), by using the Site or Site Services after the Effective Date if you had an Account on the Effective Date, or by clicking to accept the Terms of Service when prompted on the Site, you agree to abide by this Agreement and the other Terms of Service. you may use the Website, Service (i) a Student, (ii) a Parent, (iii) a Tutor, (iv) An Ulama Institute (v) a visitor simply using the functionality, including that of the Blog, and/or reviewing the content, that is publicly available on the Website. Throughout these Terms “you” or “your” may refer as applicable to the Student, the Parent, each Tutor, and Ulama Institute accessing or using any of our Services (each the “User”).
1.2 (Account Profile) The truthful of you
If you open an account on behalf of an Ulama Institute, organization, or other entity, then (a) “you” includes you and that entity, and (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement and that you agree to this Agreement on the entity’s behalf. you agree that by connecting with a third-party service, you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials for that service.
You may never use another User’s account without permission. You agree to provide accurate and You agree to provide true, accurate, and complete information on your Profile and all registration and other forms you access on the Site or provide to us and to update your information to maintain its truthfulness, accuracy, and completeness.
you consent not to provide any false or misleading information about your identity or location, your business, your skills, or the services your business provides and to correct any such information that is or becomes false or misleading.
You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower-case letters, numbers, and symbols) with your account.
You must notify us of Ulama Institute immediately of any breach of security or unauthorized use of your account. Ulama Institute will not be liable for any losses caused by any unauthorized use of your account.
1.3 Users Accounts
You agree that you are to be a registered user on ulama institute for login credentials to be provided or enabled by us (“Login Credentials”) based on the type of access applicable to your use of the Website (whether Student or instructor ). You agree that you are responsible for protecting your Login Credentials from unauthorized use, and you are responsible for all activity that occurs under those Login Credentials.
You agree to notify us immediately if you believe that any of your Login Credentials have been or may be compromised or used without your permission.
You may not (i) create more than one account to access the Website, (ii) share your Login Credentials with any third party (iii) transfer your account to any third party. WE are not responsible for any loss or damage caused by, or expense incurred by you as a result of, your failure to protect your Login Credentials. You agree that you shall not rent, resell, or pre-market the Website, or provide access to the Services to any third party. We are not responsible for losses or damage caused by your failure to prove your login and password.
We may terminate any Login Credentials in it’s sole
discretion; You will not be entitled to create a new account to access the Website if your prior Login Credentials have been terminated.
1.4 Identity and verification
To increase the trustworthiness and the integrity of our platform your Account will be subject to verification, including, but not limited to, validation against third-party databases or the verification of one or more official government or legal documents that confirm your identity, your location, and your ability to act on behalf of your business on Ulama Institute.
You agree to, directly or through third parties, make any inquiries necessary to validate your identity, your location, and confirm your ownership of your email address or financial accounts, subject to applicable law. When requested, you must timely provide us with complete information about yourself and your business, which includes, but is not limited to, providing official government or legal documents. During verification, some Account features may be temporarily limited. When verification is completed, Account features will be restored.
1.5 relationship and responsibility:
Ulama Institute do not responsible for the information and materials by the instructor, besides, we do not recommend, represent warranties the reliability of the tutors
The user is responsible. Users are responsible for evaluating and determining the suitability of any class instructor on their own. If Users decide to enroll in a Service with the instructor directly, Ulama Institute is not a party to that Service, Contract, classes.
1.6 login Information :
Each person who uses the Site must register for their Account. When you register for an Account using user and password, You are entirely responsible for protecting and maintaining the confidentiality of your username and password. You agree not to share your username or password with any person, and,
if you are a legal entity who is not a natural person, to only share your username and password with a person who is authorized to use your Account. You authorize Ulama institute to assume that any person using the Site with your username and password, either is you or is authorized to act for you.
You agree not to use the account, username, or password of another User at any time, nor to disclose your password to any third party. You agree you will not sell or share or otherwise transfer your membership or any membership rights. You agree to notify ulama Institute immediately if you suspect any unauthorized use of your account or access to your password. Ulama Institute preserves the right to terminate your account for any reason at our sole discretion without notice to you.
PURCHASES and PAYMENT
Ulama Institute does not offer free trials. By using our paid options such as ( Paypal, stripe, Payoneer) you agree to pay Ulama Institute all charges at the prices then in effect for the products or services you or other persons using your billing account may purchase, and you authorize Ulama Institute to charge your chosen payment provider for any such purchases please Review our Refund and payment policy
You agree to make a payment using that selected payment method.
If you have ordered our service that is subject to recurring charges then you agree to us charging your payment method on a recurring basis, without requiring your prior approval from you for each recurring charge until you cancel the applicable product or service. Ulama Institute reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. We also use third-party payment services (Stripe, PayPal, Payoneer, TransferWise) for making the payouts for Tutors, and those payment services process such transactions, please check the additional payment terms specified in the Refund and Payment Policy.
All payments shall be in U.S. dollars.
CONTRIBUTION LICENSE
By posting Contributions to any part of the Sites, or making them accessible to the Sites by linking your account to any of your social network accounts, you automatically grant, and you represent and warrant that you have the right to grant, to Ulama Institute an unrestricted, unconditional, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part) and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media format and through any media channel. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, Ulama Institute name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, and logos, personal and commercial images you provide. Ulama Institute does not assert any ownership over your Contributions; rather, as between us and you, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We will not use your contribution in a way that infringes on your rights and always processes your personal information lawfully and with your consent.
Ulama Institute has the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Contributions, (ii) re-categorize any Contributions to place them in more appropriate locations or (iii) pre-screen or delete any Contributions that are determined to be inappropriate or otherwise in violation of this Agreement.
By uploading your Contributions to the Sites, you hereby authorize Ulama Institute to grant to each end user a personal, limited, non-transferable, perpetual, non-exclusive, royalty-free, fully-paid license to access, download, print, and otherwise use your Contributions for their internal purposes and not for distribution, transfer, sale or commercial exploitation of any kind.
GUIDELINES FOR REVIEWS
Ulama Institute may accept, reject or remove reviews at its sole discretion. Ulama Institute has absolutely no obligation to screen reviews or delete reviews, even if anyone considers reviews objectionable or inaccurate. Those persons posting reviews should comply with the following criteria: (1) reviewers should have firsthand experience with the person/entity being reviewed; (2) reviews should not contain: offensive language, profanity, or abusive, racist, or hate language; discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation or disability; or references to illegal activity; (3) reviewers should not be affiliated with competitors if posting negative reviews; (4) reviewers should not make any conclusions as to the legality of conduct; and (5) reviewers may not post any false statements or organize a campaign encouraging others to post reviews, whether positive or negative. Reviews are not endorsed by Ulama Institute and do not represent the views of Ulama Institute or any affiliate or partner of Ulama Institute. Ulama Institute does not assume liability for any review or any claims, liabilities, or losses resulting from any review. By posting a review, the reviewer hereby grants to Ulama Institute a perpetual, non-exclusive, worldwide, royalty-free, fully-paid, assignable, and sublicensable license to reproduce, modify, translate, transmit by any means, display, perform and/or distribute all content relating to reviews.
SOCIAL MEDIA
As part of the functionality of the Sites, you may link your account with online accounts you may have with third-party service providers (each such account, a “Third Party Account”) by either: (i) providing your Third Party Account login information through the Sites; or (ii) allowing Ulama Institute to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent that you are entitled to disclose your Third Party Account login information to Ulama Institute and/or grant Ulama Institute access to your Third-Party Account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating Ulama Institute to pay any fees or making Ulama Institute subject to any usage limitations imposed by such third-party service providers. By granting Ulama Institute access to any Third Party Accounts, you understand that (i) Ulama Institute may access, make available and store (if applicable) any content that you have provided to and stored in your Third-Party Account (the “Social Network Content”) so that it is available on and through the Sites via your account, including without limitation any friend lists, and (ii) Ulama Institute may submit and receive additional information to your Third-Party Account to the extent you are notified when you link your account with the Third-Party Account. Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Sites. Please note that if a Third-Party Account or associated service becomes unavailable or Ulama Institute access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Sites. You will have the ability to disable the connection between your account on the Sites and your Third-Party Accounts at any time. PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD PARTY SERVICE PROVIDERS. Ulama Institute makes no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content. You acknowledge and agree that Ulama Institute may access your e-mail address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely to identify and inform you of those contacts who have also registered to use the Sites. At your request made via email to our email address listed below, or through your account settings (if applicable), Ulama Institute will deactivate the connection between the Sites and your Third-Party Account and delete any information stored on Ulama Institute servers that were obtained through such Third-Party Account, except the username and profile picture that becomes associated with your account.
SUBMISSIONS
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Sites or the Ulama Institute Services (“Submissions”) provided by you to Ulama Institute are non-confidential and Ulama Institute (as well as any designee of Ulama Institute ) shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
PROHIBITED ACTIVITIES (Limits and restriction)
You may not access or use the Sites for any other purpose other than that for which Ulama Institute makes it available. The Sites may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the ulama institute. Prohibited activity includes, but is not limited to:
- attempting to bypass any measures of the Sites designed to prevent or restrict access to the Sites, or any portion of the Sites
- attempting to impersonate another user or person or using the username of another user
criminal or tortious activity
- deciphering, decompiling, disassembling, or reverse-engineering any of the software comprising or in any way making up a part of the Sites
- deleting the copyright or other proprietary rights notice from any Sites’ content
- engaging in any automated use of the system, such as using any data mining, robots, or similar data gathering and extraction tools
- except as may be the result of the standard search engine or Internet browser usage, using or launching, developing or distributing any automated system, including, without limitation, any spider, robot (or “bot”), cheat utility, scraper, or offline reader that accesses the Sites, or using or launching any unauthorized script or other software
- harassing, annoying, intimidating, or threatening any Ulama Institute employees or agents engaged in providing any portion of the Ulama Institute Services to you
- interfering with, disrupting, or creating an undue burden on the Sites or the networks or services connected to the Sites
- making any unauthorized use of the Ulama Institute Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses
- selling or otherwise transferring your profile
- systematic retrieval of data or other content from the Sites to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Ulama Institute
- tricking, defrauding or misleading Ulama Institute and other users, especially in any attempt to learn sensitive account information such as passwords
- using any information obtained from the Sites to harass, abuse, or harm another user
- using the Ulama Institute Services as part of any effort to compete with Ulama Institute or to provide services as a service bureau
- using the Sites in a manner in violation or inconsistent with any and all applicable federal, state, or international laws and regulations
- Upload any content that is indecent, libelous, defamatory, obscene, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable
- Post hateful or racially or ethnically objectionable Content
- Any attempts to change the price of any item or interfere with other Users’ or instructor Listings
- Violate any third party’s rights, including any breach of confidentiality, or any infringement of copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
- Create an ad in order to sell goods or services of any type of commercial purpose on Ulama Institute that are not relevant to the services offered through our services.
- Solicit personal data from children under 18 years of age
- Any attempts to view, copy or procure contents at Ulama Institute or users such as ( but not limited to a robot, spider, site search/retrieval application or other automated devices, process or means to access, retrieve, scrape or index any portion of the Ulama Institute Platform, any Content or other Members’ Member Content;
- Reverse engineer any portion of the ulama institute Platform
- any attempts that result to load on our technology infrastructure or otherwise make excessive traffic demands of the Ulama Institute Platform.
- Create unauthorized access to any computer system through the Website; Attempts gain unauthorized access to the ulama Institute Platform, Accounts includes (users, employees), computer systems, networks connected by hacking, password, personal information mining or any other means;
- Collect information to Schedule and/or provide for any Teaching Service outside of the Ulama Institute Platform;
- Any communication to Make, accept, or receive any payment with the Teacher Service outside of the Ulama Institute
- Any attempts Solicit and/or recruit ) Members ( students, instructor to work or study on other software or language learning platforms.
The limitation mentioned above only applies to the extent allowed under applicable law. You agree not to break these restrictions (even if permissible under applicable law).
Ulama Institute reserves the right to determine what conduct that it considers to be in violation of these limitations and restrictions. Ulama Institute reserves the right to take action as a result of any violation, which may include terminating your Account and prohibiting you from using the ulama Institute Platform and services in any form.
INTELLECTUAL PROPERTY RIGHTS
The content on the Ulama Institute Sites and the trademarks, service marks, and logos contained therein (“ع”) are owned by or licensed to ْUlama Institute LLC, and are subject to copyright and other intellectual property rights under the United States and foreign laws and international conventions. Ulama Institute Content includes, without limitation, all source code, databases, functionality, software, Sites’ designs, audio, video, text, photographs, and graphics. All Ulama Institute graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, common law trademarks, or trade dress of Ulama Institute LLC in the United States and/or other countries. Ulama Institute LLC trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Ulama Institute.
Ulama Institute Content on the Sites is provided to you “AS IS” for your information and personal use only and may not be used, copied, reproduced, aggregated, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Provided that you are eligible to use the Sites, you are granted a limited license to access and use the Ulama Institute Sites and the Ulama Institute Content and to download or print a copy of any portion of the Ulama Institute Content to which you have properly gained access solely for your personal, non-commercial use. Ulama Institute reserves the right but does not have the obligation to:
A. monitor the Sites for violations of this Agreement;
B. take appropriate legal action against anyone who, in Ulama Institute sole discretion, violates this Agreement, including without limitation, reporting such user to law enforcement authorities;
C. in Ulama Institute sole discretion and without limitation, refuse, restrict access to or availability of, or disable (to the extent technologically feasible) any user’s contribution or any portion thereof that may violate this Agreement or any Ulama Institute policy;
D. In Ulama Institute sole discretion and without limitation, notice or liability to remove from the Sites or otherwise disable all files and content that are excessive in size or are in any way burdensome to Ulama Institute’s systems;
E. Otherwise manages the Ulama Institute Sites and platform in a manner designed to protect the rights and property of the platform and others and to facilitate the proper functioning of the Ulama Institute platform and services.

TERM AND TERMINATION
This Agreement shall remain in full force and effect while you use our Sites and services or are otherwise a user or member of the Sites, as applicable. You may terminate your use or participation at any time, for any reason, by following the instructions for terminating user accounts in your account settings, if available, or by contacting us using the contact information below.
WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, Ulama Institute RESERVES THE RIGHT TO, IN Ulama Institute ’S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITES AND THE Ulama Institute SERVICES, TO ANY PERSON FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN THIS AGREEMENT, OR OF ANY APPLICABLE LAW OR REGULATION, AND Ulama Institute MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITES AND THE Ulama Institute SERVICES, DELETE YOUR PROFILE AND ANY CONTENT OR INFORMATION THAT YOU HAVE POSTED AT ANY TIME, WITHOUT WARNING, IN Ulama Institute ’S SOLE DISCRETION.
In order to protect the integrity of our Sites and Services, Ulama Institute reserves the right at any time in its sole discretion to block certain IP addresses from accessing the Sites and Ulama Institute Services.
Any provisions of this Agreement that, to fulfill the purposes of such provisions, need to survive the termination or expiration of this Agreement, shall be deemed to survive for as long as necessary to fulfill such purposes.
YOU UNDERSTAND THAT CERTAIN STATES ALLOW YOU TO CANCEL THIS AGREEMENT, WITHOUT ANY PENALTY OR OBLIGATION, AT ANY TIME PRIOR TO MIDNIGHT OF OUR PLATFORM THIRD BUSINESS DAY FOLLOWING THE DATE OF THIS AGREEMENT, EXCLUDING SUNDAYS AND HOLIDAYS. TO CANCEL, CALL A Ulama Institute CUSTOMER CARE REPRESENTATIVE DURING NORMAL BUSINESS HOURS USING THE CONTACT INFORMATION LISTING BELOW IN THIS AGREEMENT OR BY ACCESSING YOUR ACCOUNT SETTINGS. THIS SECTION APPLIES ONLY TO INDIVIDUALS RESIDING IN STATES WITH SUCH LAWS.
If Ulama Institute terminates or suspends your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Ulama Institute reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
MODIFICATIONS
To Agreement
Ulama Institute may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the Sites and revisions will be indicated by date. You agree to be bound to any changes to this Agreement when you use the Ulama Institute Services after any such modification becomes effective. Ulama Institute may also, at its discretion, choose to alert all users with whom it maintains email information of such modifications by means of an email to their most recently provided email address. It is therefore important that you regularly review this Agreement and keep your contact information current in your account settings to ensure you are informed of changes. You agree that you will periodically check the Sites for updates to this Agreement and you will read the messages we send you to inform you of any changes. Modifications to this Agreement shall be effective after posting.
To Services
Ulama Institute reserves the right at any time to modify or discontinue, temporarily or permanently, the Ulama Institute Services (or any part thereof) with or without notice. You agree that Ulama Institute shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Ulama Institute Services.
Dispute Resolution and class action waiver
WHEREAS a dispute has arisen, or if a dispute arises with Ulama Institute the parties (the “Dispute”) parties have agreed to submit to binding arbitration to resolve the Dispute.
WHEREAS, the parties agree as follows:
- Conciliation Before Arbitration:
Most customer concerns can be resolved quickly and to the customer’s satisfaction by contacting Customer Service to address any concerns, disputes, claims, or controversies you may have. We do our best to solve any dispute in a manner that results in user’s satisfaction by reasonable negotiation of all parties. You agree to utilize Ulama Institute customer service information either with first-class U.S. Mail to Ulama Institute at P.O. Box 1147, Lampasas, Texas 76550 and also via e-mail to [email protected] as the first step to handle a dispute and that all parties shall do their best effort to collaborate to solve the dispute before attempting any claims or potential.
If Ulama Institute customer services has not completed its investigation within 30 calendar days or (ii) my dispute remains unresolved (iii) my dispute was not resolved through the conciliation and involves a legal claim, I agree to participate in a telephonic conciliation meeting with Ulama Institute. I understand I must do so in an effort to resolve the dispute before submitting my dispute to arbitration and as a condition precedent to making a demand for arbitration. For Ulama Institute, it agrees to contact me at my last known address or telephone number to attempt to conciliate any claim or potential claim it has against me. Regardless of who initiates the conciliation, I understand that I have the option that the telephonic conciliation can either be with me (or my legal representative) and an Ulama Institute with me (or my legal representative) and an Ulama Institute manager using Ulama Institute’s Dispute Resolution Manager or both. Any telephonic conciliation meeting with Ulama Institute’s Dispute Resolution Manager shall take place within 30 calendar days of receipt of the request by either party. The parties may skip this conciliation step only by written, mutual consent.
- Arbitration Is Exclusive Forum. If a resolution is not reached through conciliation, the parties agree that arbitration is the required and exclusive forum for the resolution of all disputes The parties mutually consent to the resolution by final and binding arbitration of all claims and controversies (the, “Claims”) that either may have against each other relating to, resulting from, or in any way arising out of the attached agreement and will waive their right to litigate these issues in court and instead will resolve their dispute through binding arbitration in Lampasas, Texas.
- Applicable rules: Unless as otherwise provided in this Dispute Resolution Agreement, in any arbitration, the dispute resolution rules of the American Arbitration Association (AAA) will apply. Either party may initiate binding arbitration as the sole means to formally resolve claims (the “Agreement to Arbitrate”), subject to the terms set forth below. Specifically, all Disputes shall be finally settled by binding arbitration administered by the American Arbitration Association (the “AAA”). The arbitration proceedings shall be governed by AAA’s Commercial Arbitration Rules (the “AAA Rules”) and, where appropriate, AAA’s Supplementary Procedures for Resolution of Consumer-Related Disputes (the “AAA Consumer Rules”). This arbitration provision is made according to a transaction involving interstate commerce, and the Federal Arbitration Act shall apply to the interpretation, applicability, enforceability, and formation of these Ulama Institute Terms of services notwithstanding any other choice of law provision contained in these Ulama Institute Term of services.
(a) Whoever files the arbitration will pay the initial filing fee. If Ulama Institute files, then Ulama Institute will pay; if you file, then you will pay unless you get a fee waiver under the applicable arbitration rules. Each party will bear the expense of that party’s attorneys, experts, and witnesses, and other expenses, regardless of which party prevails, but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, determines so.
(B) This Arbitration Provision is the full and complete agreement relating to the formal resolution of Claims. Except as otherwise provided in this Arbitration Provision, this Arbitration Provision covers, and the arbitrator shall have exclusive jurisdiction to decide, all disputes arising out of or relating to the interpretation, enforcement, or application of this Arbitration Provision, including the enforceability, revocability, scope, or validity of the Arbitration Provision or any portion of the Arbitration Provision. All such matters shall be decided by an arbitrator and not by a court. The parties expressly agree that the arbitrator and not a court will decide any question of whether the parties agreed to arbitrate, including but not limited to any claim that all or part of this Arbitration Provision, this Agreement, or any other part of the Terms of Service is void or voidable.
(C) Required Notice of Dispute: In the event of reaching an impasse to our reconciliation and negotiation, you or Ulama Institute must give the other a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the Dispute, and a proposed solution (a “Notice of Dispute”). You must send any Notice of Dispute by first class U.S. Mail to Ulama Institute at P.O. Box 1147, Lampasas, Texas 76550, and also via e-mail to [email protected]. Ulama Institute will send any Notice of Dispute to you by first class U.S. Mail to your address if Ulama Institute has it, or otherwise to your e-mail address. You and Ulama Institute will attempt in good faith to resolve any Dispute through informal negotiation and reconciliation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, you or Ulama Institute may commence arbitration.
The AAA Rules and the AAA Consumer Rules are both available on the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. The parties understand that absent this mandatory provision, they would have the right to sue in court and have a jury trial. They further understand that, in some instances, the costs of arbitration could exceed the cost of litigation and the right to discovery may be more limited in arbitration than in court.
- Class/Collective Action Waiver: Ulama Institute and I agree that any and all claims subject to arbitration under this Dispute Resolution Agreement may be instituted and arbitrated only in an individual capacity, and not on behalf of or as a part of any purported class, collective, representative, or consolidated action (collectively referred to in this Dispute Resolution Agreement as a “Class Action”). Furthermore, Ulama Institute and I agree that neither party can initiate a Class Action in court or in the arbitration to pursue any claims that are subject to arbitration under this Dispute Resolution Agreement. Moreover, neither party can join a Class Action or participate as a member of a Class Action instituted by someone else in court or in the arbitration to pursue any claims that are subject to arbitration under this Dispute Resolution Agreement. It is the parties’ intent to the fullest extent permitted by law to waive any and all rights to the application of Class Action procedures or remedies concerning all claims subject to this Dispute Resolution Agreement, and it is expressly agreed between Ulama Institute and me that any arbitrator adjudicating claims under this Dispute Resolution Agreement shall have no power or authority to adjudicate Class Action claims and proceedings. The waiver of Class Action claims and proceedings is an essential and material term of this Dispute Resolution Agreement, and Ulama Institute and I agree that if it is determined by a court of competent jurisdiction that it is prohibited or invalid under applicable law, then this entire Dispute Resolution Agreement is unenforceable. Otherwise, if any other provision of this Dispute Resolution Agreement is held to be unenforceable by a court of competent jurisdiction, such provision shall be deemed voided; however, all remaining provisions of this Dispute Resolution Agreement shall remain in full force and effect.
I understand that, by entering into this Dispute Resolution Agreement, I am waiving my right to a jury trial and waiving any right I may have to bring any claim covered by this agreement as a Class Action (as defined herein), either in court or in arbitration, or to participate in such an action.
- Governing Law: The laws of the State of Texas will be applied in the proceedings, without regard to principles of conflict of laws.
- The Arbitrator’s Decision: Within 30 days after the hearing, each party will have the right to prepare a brief, a copy of which must be shared with the other party and filed with the Arbitrator. The Arbitrator shall issue a written decision within 30 days of receipt of the parties’ briefs which shall include a statement of the arbitrator’s findings of fact and conclusions of law. The Arbitrator may award any relief to either party to which Ulama Institute or I may be entitled by law. The award of the Arbitrator may be enforced under the terms of the Federal Arbitration Act (Title 9 U.S.C.) and/or under the law of any state to the maximum extent possible. If a court determines that the award isn’t completely enforceable, it shall be enforced and binding on both parties to the maximum extent permitted by law.
- Award and Judicial Action: Either party may bring an action in any court of competent jurisdiction to compel arbitration under this Dispute Resolution Agreement and to enforce an arbitration award. The prevailing party in such an action shall be awarded its attorneys’ fees and costs.
- Arbitration Costs. The costs of the arbitration will be split by the parties unless otherwise determined by the arbitrator. If this Dispute is related to employment, the employer will bear the cost of arbitration. The parties will be responsible for their litigation fees. The arbitrator may award any fees or costs to the prevailing party pursuant to applicable statutes or case law in the jurisdiction.
- Miscellaneous. Except as expressly modified herein, the original contract remains unchanged and continues in full force and effect. In the event that any provision of this Agreement is held to be invalid, illegal, or unenforceable in whole or in part, the remaining provisions shall not be affected and shall continue to be valid, legal, and enforceable as though the invalid, illegal or unenforceable parts had not been included in this Agreement. Neither party will be charged with any waiver of any provision of this Agreement unless such waiver is evidenced by a writing signed by the party and any such waiver will be limited to the terms of such writing. Any modifications to this agreement must be in writing and notarized.
- Voluntary Agreement. EACH PARTY ACKNOWLEDGES THAT IT HAS CAREFULLY READ THIS AGREEMENT, UNDERSTANDS ITS TERMS, AND AGREES THAT IT HAS KNOWINGLY AND VOLUNTARILY ENTERED INTO THE AGREEMENT WITHOUT RELIANCE ON ANY PROVISIONS OR REPRESENTATIONS BY THE OTHER, EXCEPT THOSE CONTAINED IN THIS AGREEMENT. EACH PARTY FURTHER ACKNOWLEDGES THAT IT HAS BEEN GIVEN THE OPPORTUNITY TO DISCUSS THIS AGREEMENT WITH PRIVATE LEGAL COUNSEL AND HAS UTILIZED THAT OPPORTUNITY TO THE EXTENT DESIRED
CORRECTIONS
Occasionally there may be information on the Sites that contains typographical errors, inaccuracies, or omissions that may relate to service descriptions, pricing, availability, and various other information. Ulama Institute reserves the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.
DISCLAIMERS
Ulama Institute cannot control the nature of all of the content available on the Sites. By operating the Ulama Institute PLatform, we do not represent or imply that Ulama Institute endorses any blogs, tutor, instructor, contributions, interaction, corresponds, transactions, or other content available on or linked to by the Sites, including without limitation content hosted on third-party websites or provided by third-party applications, or that Ulama Institute believes contributions, blogs, lessons, or other content to be accurate, useful or non-harmful.

IN ADDITION, NOTWITHSTANDING ANY FEATURE A STUDENT MAY USE TO SELECT AN INSTRUCTOR, EACH STUDENT IS RESPONSIBLE FOR SELECTING THEIR INSTRUCTOR AND NEGOTIATING A CONTRACT AND PRICES, ON THE OTHER HAND, ULAMA INSTITUTE DOES NOT PROVIDE ANY WARRANTY WITH RESPECT TO ANY GOODS OR SERVICES PURCHASED BY A STUDENT ON THE ULAMA INSTITUTE PLATFORM AND DOES NOT RECOMMEND ANY PARTICULAR INSTRUCTOR. ULAMA INSTITUTE DOES NOT PROVIDE ANY WARRANTIES OR GUARANTEES REGARDING ANY TEACHER’S PROFESSIONAL ACCREDITATION, REGISTRATION, OR LICENSE.

NOTICES
Except as explicitly stated otherwise, any notices given to Ulama Institute shall be given by email to the address listed in the contact information below. Any notices given to you shall be given to the email address you provided during the registration process, or such other address as each party may specify. Notice shall be deemed to be given twenty-four (24) hours after the email is sent unless the sending party is notified that the email address is invalid. The failure of Ulama Institute to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. This Agreement and your account may not be assigned by you without our express written consent. Ulama Institute may assign any or all of its rights and obligations to others at any time. Ulama Institute shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond Ulama Institute’s reasonable control. If any provision or part of a provision of this Agreement is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and Ulama Institute as a result of this Agreement or the use of the Sites and Ulama Institute Services. Upon Ulama Institute’s request, you will furnish Ulama Institute with any documentation, substantiation, or releases necessary to verify your compliance with this Agreement. You agree that this Agreement will not be construed against Ulama Institute by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of this Agreement and the lack of signing by the parties hereto to execute this Agreement.
